Terms of Service

1. Scope and Parties
1.1 Agreement
These Terms of Service (“Terms”) govern all use of the Monolith platform and related services (“Service”) by customers (“Customer”, “you”). By accessing or using the Service, you agree to be bound by these Terms.

1.3 Modifications
Any deviating or supplemental terms from the Customer will not become part of the contract unless expressly agreed to in writing.
2. Services Provided
2.1 Core Service
We provide a Software as a Service (“SaaS”) platform for AI-powered character image generation. The Service enables you to:
- Create and manage AI character profiles
- Generate consistent character images from text prompts
- Upload reference images for style and character consistency
- Generate images in batch mode (4x variations)
- Organize generated images in character galleries
- Plan content with the Timetable scheduler
- Generate AI-powered captions and hashtags
2.2 Service Modifications
We may make reasonable changes to the Service (e.g., to improve performance or comply with laws) provided such changes do not eliminate core features. We will inform you of material changes in a timely manner.
2.3 No Guaranteed Results
We do not guarantee specific outputs or results from using the Service. The quality and accuracy of generated images depend on the quality of your inputs (prompts, references). We do not warrant that outputs will meet your specific expectations.
3. Token System and Pricing
3.1 Token Model
Image generation is measured in tokens:
- 10 tokens = 1 image generation
- Tokens refresh monthly on paid subscription plans
- Unused tokens do not roll over to the next billing period
3.2 Pricing Plans
Free: 100 tokens (10 images) — one-time starter pack
Basic: €24.99/month (VAT exclusive) — 1,000 tokens (100 images)
Pro: €49.99/month (VAT exclusive) — 2,500 tokens (250 images)
All prices are in EUR and exclude applicable VAT, which will be added as required by law.
3.3 Payment
Payments are processed via our payment provider. Invoices are issued per the agreed billing cycle. If you fail to pay on time, we may suspend Service access until overdue amounts are paid.
4. Use Requirements
4.1 Responsibilities
You agree to:
- Use the Service only for legitimate purposes and in compliance with all applicable laws
- Keep your login credentials confidential and prevent unauthorized access
- Take responsibility for the content you input (prompts, references)
- Ensure your use of generated content does not violate any laws or third-party rights
4.2 Prohibited Uses
You shall not:
- Generate content depicting real people without their consent
- Generate illegal, harmful, hateful, or explicit content
- Reverse-engineer, decompile, or misuse the Service
- Use the Service to infringe intellectual property rights
- Resell or redistribute access to the Service without authorization
- Attempt to circumvent usage limits or security measures
Violation may result in immediate suspension or termination of your account.
5. Intellectual Property and Content
5.1 Service IP
All intellectual property rights in the Monolith Service (including software, algorithms, and documentation) remain the exclusive property of the Provider. We grant you a limited, non-exclusive, non-transferable right to use the Service during the term of your subscription.
5.2 Your Content
You retain all rights to the content you upload or provide to the Service (“Your Content”). By providing Your Content, you grant us a license to process it only to the extent necessary to perform the Service.
5.3 Generated Content
You own full rights to images you generate using the Service. You may use generated content commercially, share it, or modify it. We do not claim ownership over your generated creations.
5.4 Reference Images
You represent and warrant that you have all necessary rights, licenses, and permissions for any reference images you upload. You are solely responsible for ensuring your use of reference images does not infringe third-party rights.
5.5 Fair Use and Transformative Works
The Service is designed to create original, transformative AI-generated artwork. Generated images are not copies or reproductions of existing works but new creative expressions produced through machine learning algorithms. Users acknowledge that:
- Transformative Nature: AI-generated content constitutes transformative use, as the output is a new creative work substantially different from any source material
- Fictional Characters: Characters created using this Service are fictional personas. Any resemblance to real persons is unintentional unless explicitly intended by the user with proper consent
- Creative Purpose: The primary purpose of the Service is artistic expression, content creation, and entertainment—non-commercial personal use and commercial creative projects alike
- No Infringing Intent: The Service is not designed to replicate copyrighted works, trademarks, or protected likenesses. Users must not use the Service to deliberately copy or imitate protected intellectual property
- Style vs. Substance: Using artistic styles, visual aesthetics, or general concepts as inspiration for AI generation is permitted; copying specific protected works or identifiable protected elements is not
This clause is intended as a good-faith statement of the transformative and creative nature of AI-assisted content generation. It does not constitute legal advice. Users are responsible for ensuring their specific use complies with applicable copyright, trademark, and publicity rights laws in their jurisdiction.
6. Right of Withdrawal and Refund Policy
6.1 Digital Services and Immediate Performance
Monolith is a digital service. When you purchase a subscription or tokens:
- The service starts immediately upon purchase (tokens are delivered and usable right away)
- By completing your purchase, you explicitly consent to the service beginning before the 14-day cooling-off period ends
- You acknowledge that this consent means you lose your right of withdrawal once the service has started
6.2 No Refunds Policy
All purchases and subscriptions are non-refundable.
Due to the immediate delivery of digital services (tokens that can be used instantly), we do not offer refunds for:
- Subscription payments (monthly fees)
- Token purchases
- Unused tokens at the end of a billing period
- Partial billing periods after cancellation
6.3 Consumer Acknowledgment
At checkout, before completing your purchase, you will be asked to confirm that you:
- Understand the service will start immediately (tokens delivered and usable)
- Explicitly consent to the service starting before the 14-day withdrawal period ends
- Acknowledge that by giving this consent, you waive your right of withdrawal
6.4 Free Tier
New users receive 100 tokens (10 image generations) free to evaluate the Service before making any purchase.
6.5 Exceptions
Refunds may be considered only in cases where required by applicable law or in cases of demonstrable service unavailability directly caused by us.
7. Warranty
7.1 Service Availability
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance and force majeure events are not considered downtime.
7.2 Third-Party Dependencies
Our Service relies on third-party providers (AI models, cloud storage, etc.). Availability of those external services is outside our control. If a third-party ceases to provide a necessary component, we will strive to find a suitable alternative.
7.3 Notification of Issues
You should notify us promptly of any defects or disruptions. We will use commercially reasonable efforts to address material service issues.
8. Limitation of Liability
8.1 Unlimited Liability
We are liable without limitation for damages resulting from intentional misconduct, gross negligence, or injury to life, body, or health.
8.2 Limited Liability
For ordinary negligence, liability is limited to breach of essential contractual obligations and to foreseeable, typical damages. We are not liable for indirect, incidental, or consequential damages.
8.3 Indemnification
You agree to indemnify and hold us harmless from any third-party claims arising out of your unlawful use of the Service or breach of these Terms.
9. Term and Termination
9.1 Contract Term
The contract begins when you register an account and accept these Terms. Paid subscriptions run for the selected billing period (monthly).
9.2 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You retain access until then.
9.3 Termination for Cause
Either party may terminate immediately for cause, including serious breach of these Terms or non-payment after warning.
9.4 Effects of Termination
Upon termination:
- Your account will be deactivated
- You may download your images before account deletion
- We may delete your data after a reasonable retention period
- No refunds for unused tokens or partial billing periods (except where required by law)
10. Data Protection
We process personal data in accordance with our Privacy Policy. By using the Service, you acknowledge that you have read and understood our data practices.
11. Governing Law and Jurisdiction
11.1 Governing Law
These Terms are governed by the laws of the jurisdiction where the Provider is established, excluding conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG).
11.2 Dispute Resolution
Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts.
12. Changes to Terms
We may modify these Terms for future transactions. For existing contracts, we will notify you of proposed changes at least 30 days in advance via email. Changes are deemed approved if you do not object within the notice period. If you object, either party may terminate the contract before the changes take effect.
13. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect. The invalid provision will be replaced with a valid one that most closely reflects the original intent.
